In consideration of being allowed to submit a testimonial statement for consideration for posting in connection with Limeades for Learning, I hereby irrevocably agree as follows:

I irrevocably give and grant Sonic Capital LLC doing business as SONIC® Drive-In ("Sonic") and Barkley, Inc., and their respective licensees, successors and assignees (herein collectively called the "Sponsors"), in perpetuity, worldwide, without royalty fee or charge, the right to use, edit, broadcast, post, publish, reproduce, and copy my name, picture, portrait, likeness, voice, any biographical information provided, and all testimonial statements (the "Testimonial Materials") in any and all media and types of advertising and promotion, without limitation, of Limeades for Learning, a program or service of Sonic.

Once submitted, the Testimonial Materials may not be changed, altered, or modified by me, but may be changed, altered, or modified by the Sponsors so long as the modifications do not misrepresent the essential message of my original submission. Once submitted, the Testimonial Materials become the sole property of the Sponsors and will not be returned. By submitting the Testimonial Materials, I give irrevocable permission (and warrant and represent that I own or have obtained all rights, including the rights of each videographer and photographer, necessary to give such permission) to the Sponsors to use, edit, broadcast, post, publish, reproduce, and copy the Testimonial Materials, including posting the Testimonial Materials on the World Wide Web and to otherwise use the Testimonial Materials in connection with the Limeades for Learning program (the "Program") and related advertising, promotion, and publicity of the Program and all other purposes stated in these Terms and Conditions (as solely determined by the Sponsors). I further warrant and represent that the Testimonial Materials: (a) do not violate any law or regulation, (b) do not violate or infringe any right or intellectual property, publicity, or privacy rights of anyone, including, but not limited to, rights of copyright, trademark or patent, (c) are not defamatory, slanderous, or libelous and do not portray any person in a false light, (d) my own original work and that I own and control all right, title, and interest in the Testimonial Materials, including, but not limited to, copyright rights therein, (e) have not been accepted for previous publication or submitted in any other competition or contest, (f) do not contain any virus, bugs, or other deleterious material, and (g) that I have followed and complied with and agree to be bound by these Terms and Conditions.

I understand and agree that the Testimonial Materials cannot contain, among other things, the trademark, trade name, or logo of any third party (but may contain a trademark, trade name or logo of the Sponsors); cannot name, depict, or describe any person (living, dead, or fictional) other than myself; and cannot contain any material of a third party that is protected by copyright, trademark, patent, privilege, confidentiality, or privacy.

I also understand and agree that I may be required to obtain written permission or provide releases or licenses from the videographer or photographer of the Testimonial Materials or anyone else deemed essential, at any time, as solely determined by the Sponsors, as a condition for posting the Testimonial Materials or otherwise using the Testimonial Materials. The form and content of any such permission or release or license will be as solely determined by the Sponsors. Failure or delay by the Sponsors to request any such permission or release or license is not a waiver of Sponsors' right to require the same at any later time for any reason.

I further understand and agree that the Sponsors are not obligated to use the Testimonial Materials and that any failure to comply with any request or requirement by the Sponsors may cause disqualification.

By entering or submitting the Testimonial Materials, I irrevocably release agree to defend, indemnify, and hold harmless the Sponsors from any action or liability, including personal injury, property damage, invasion of privacy, copyright, trademark, patent, or publicity infringement, defamation, slander, or libel resulting from using, editing, broadcasting, posting, publishing, reproducing, and copying the Testimonial Materials, including posting on YouTube and any other social media; from publishing, broadcasting, publicly displaying, and promoting the Testimonial Materials; and from using the Testimonial Materials in connection with the Program or as authorized by the Terms and Conditions.

The Sponsors reserve the right in the Sponsors' sole discretion to decide if a submission is appropriate for posting or publication and may disqualify any submission at any time if the Sponsors decide that the submission is inappropriate, immoral, obscene, profane, or inconsistent with the image of the Sponsors or the Program; violate the rights or endanger the safety or well-being of any person; or do not comply with the Terms and Conditions or could interfere with the Program.

I represent that: I am at least 18 years old; the Testimonial Materials are truthful; and I have the right to issue my grant, permission, release, and indemnity herein. I agree that the Terms and Conditions and my grant, permission, release, and indemnity herein will be binding upon and inure to the benefit of me and the Sponsors and our respective heirs, executors, successors, and assigns. If any dispute arises regarding the Terms and Conditions, the Testimonial Materials, the Program, or my grant, permission, release, or indemnity herein then I irrevocably agree to resolve the dispute exclusively by binding arbitration held in Oklahoma City, Oklahoma and conducted in accordance with the Rules for Commercial Arbitration of the American Arbitration Association in effect at the time. I also irrevocably agree that the laws of Oklahoma will govern my grant, permission, release, indemnity and any dispute.
